It usually takes approximately two weeks for our A&R Panel to review and approve your songs. Once approved, you will be sent an email indicating your songs approval and your account will be activated. Your songs will then immediately be submitted to our retailer partners for their approval. This process usually takes 6- 8 weeks. Promotion of your songs will start as soon as they are added to our retail partner's catalogs.

Licensing Distribution Promotion and Evaluation Agreement: Licensing, Distribution, Promotion and Evaluation Agreement Non-exclusive licensing, Distribution and Promotion agreement for the licensing, sub-licensing and distribution and Promotion of music Intention: This agreement is made between eMultimedia Group, Inc. 8345 North West 66th Street, Miami, FL 33166 [eMultimedia] and the recording artist or record label detailed herein[The Licensee], being effective from the date detailed herein. The Licensee intends to register certain works as set out below with eMultimedia in order to make use of eMultimediaGroup.net Artist Distribution and Evaluation Service [ADEV] as described herein. 1. Representations a) eMultimedia warrants that: it has the capability and intention to fulfill all responsibilities attributed to it in this agreement regarding the eMultimediaGroup.net Artist Distribution and Evaluation Service [ADEV]. The purpose of the ADEV service is to provide artists and independent record labels a vehicle to digitally release their music to major digital retailers, be promoted to a worldwide music listening audience and be evaluated in the real world by eMultimedia Group, Inc's A&R Staff for consideration of a Full Recording and Distribution Contract free of upfront costs. b) The Licensee warrants that: i) they possess without limitation of territory or period the right to attribute copyright and distribution rights to the digital recordings [the Recording(s)], the musical composition and lyrics contained therein, the photographs, biographies, track descriptions and other articles [hereafter referred to collectively (including the Digital Recordings) as the Materials] as set out in Schedule A. ii) the Materials and all other materials submitted are free from any dispute of authorship and/or ownership, that it has or doesn't need the permission of any other party to exploit or license any of the Materials, and that use of these Materials as described in this agreement by eMultimedia or any other party licensed hereby will not infringe upon the rights of any person or entity nor constitute unlawful action. iii) it has the power to enter into all aspects of this agreement, to grant all rights and licenses described in this agreement, and the intention and power to fulfill all responsibilities entailed herein. iv) any and all royalty or performance payments due to any contributing artist or license holder or other party with an interest in the Materials or other submitted materials will be the sole responsibility of The Licensee at all times, and eMultimedia shall never be held responsible or liable for any such payment. v) should any inquiry or request regarding the Materials from a third party reach The Licensee via any eMultimedia owned channel, website, or associate, The Licensee will immediately inform eMultimedia of this inquiry or request and send a full copy of such to eMultimedia upon written request from eMultimedia. vi) The Licensee hereby agrees to make the Materials available to eMultimedia as described in Appendix A - Deliverables 2. Grant of Rights. a) The Licensee grants eMultimedia the right to list the Materials in their catalog, to hold physical and electronic copies of the Materials, to host, display and perform the Materials on the internet, as part of www.emultimediagroup.net, www.emultimediagroup.com, eMultimedia's other web real estate [eMultimedia ADEV Websites] and elsewhere, the right to offer the Materials to specific clients and the general public for licensing, and the right to distribute and perform the Materials in all formats now known or hereafter discovered, as well as copyright and the right to sub-license copyright subject to the following terms: b) The Licensee grants eMultimedia the license, the right to offer for license and to license the Materials or any section, sample or segment of the Materials in all territories and in perpetuity, for the purposes described below. (i) Soundtracks and synchronization: The right to use the Materials as part of an audio or audio-visual project of any nature, including without limitation films, video/computer games, television programs, radio programs, and advertising films, including the right to copy across formats, distribute and sell such projects in any form or method. All such use shall be accredited to The Licensee as appropriate. (ii) Editing and Adaptation: The right to alter or edit the Materials for use in a project, to use isolated sections or samples of the Materials in a project, to substantially change the Materials for use in a project, by adding to, removing from, or otherwise modifying the Materials. (iii) Internet Use: The right to use the Materials as part of a website or other online application, and the public performance rights thereof and the right to use the Materials in other online audio or audio visual projects including without limitation, e-mails, viral videos, online games and podcasts, video-casts or video weblogs. (iv) Promotional Products: The right to use the Materials as part of promotional products, give-away items, and other free to market products. (v) Broadcasting and Narrow-casting: The right to transmit the Materials as a public performance via television, radio, internet streaming or download, or any other form of telephony or transmission, in any format and from any site owned, operated or authorized by eMultimedia. (vi) Limited Copyright: The right to copy and to authorize licensees to make copies of the Materials in connection with the editing, formatting, dubbing, delivery or other reasons necessary for the completion of a project for which the Materials have been licensed. (vii) General The right to use and reproduce the artworks(s), photograph(s), lyric text, track descriptions, liner notes and other Materials delivered by The Licensee and to grant license of the same to third parties. c) The Licensee grants eMultimedia the right to set the license fee for any and all licenses of the Materials, and package, market and sell the Materials in whatever form eMultimedia decides. d) The Licensee grants eMultimedia the right to terminate this contract without prejudice and to withdraw the Materials from any and all catalogs and services provided by eMultimedia if any infringement of copyright law or moral rights is evidenced or suspected, or if the Materials is considered unsuitable or unsatisfactory in terms of content or quality in the sole judgment of eMultimedia. e) The Licensee grants that the period for which rights are granted by eMultimedia to Retailers and Licensing Clients in sub-license may exceed the term of this agreement; The Licensee grants power to assign sub-licenses that extend beyond the term of this agreement, and also that eMultimedia's agreements with third parties still current at the expiry or termination of this agreement will survive such termination. 3. Term. The term of this contract is initially for 3 years, and shall thereafter be automatically renewed at yearly intervals unless either party gives notice of their desire to end the contract. The contract will then be terminated after 100 days, or at the end of the contracted year, whichever occurs first. Such notice must be sent and acknowledged by email, or by registered mail to the respective party's registered address. Upon termination all parties shall be relieved of their responsibilities as described herein, and all materials submitted by The Licensee will be removed from eMultimedia's catalogs, services and archived at eMultimedia's discretion, unless their return, destruction or deletion is specifically requested by The Licensee. Any costs incurred in the return of such items will be borne by The Licensee. 4. Services and Remuneration a) In consideration of and as full compensation for the rights and privileges granted by The Licensee, eMultimedia undertakes to provide the following services and payments: i) All Materials detailed in Schedule A will be included as appropriate in the online catalog available through the eMultimedia website, and music there included shall thereby be available to clients for licensing. ii) For each track licensed by a client through eMultimedia, The Licensee shall receive 50% of the net revenue (as defined in section 4b) retained by eMultimedia. Such amounts as may be due to The Licensee under this arrangement will be paid in accordance with eMultimedia's standard terms of payment. iii) eMultimedia will distribute the music and other information provided by The Licensee to become available for sale through such resellers, stores, content providers and other outlets (collectively Retailers) as are or may henceforth become available to accept such material from eMultimedia. iv) For all Materials hereby provided to eMultimedia by The Licensee and thereafter made available to Retailers by eMultimedia, The Licensee shall receive 50% of all net revenue received by eMultimedia from Retailers for their sales of the Materials. b) Amounts owing to The Licensee under the terms of section 4a shall accrue until they total $100 USD. Forty-five days after the end of the month, in which funds owing to The Licensee first exceed this threshold amount, eMultimedia shall initiate a payment by electronic transfer to The Licensee's designated account. eMultimedia will make details of all licensing and distribution transactions available to The Licensee online via the eMultimedia website. The Licensee will have the right to audit eMultimedia's accounts only as they relate to The Licensee's Materials and relationship with eMultimedia, but whatever the resultant findings of such an audit, The Licensee shall be wholly and solely responsible for the cost of such an audit. 5. Ownership of Materials, Materials and Copyright It is agreed that The Licensee retains ownership of the copyright and all proprietary rights in respect of the Materials and other submitted works, save that the physical and digital/electronic copies delivered to and held by eMultimedia as described in this document shall be the property of eMultimedia for the duration of this contract. eMultimedia likewise retains ownership of all physical, electronic, digital and intellectual parts contained in and utilized by its catalog, services, websites, documentation and business. 6. Indemnity. (a)The Licensee shall hold blameless, shall indemnify and defend eMultimedia against loss, damage, lawsuits or judgments, including legal or accounting fees arising from: i) any breach of this agreement by The Licensee. ii) any claim of infringement or unlawful action by any party regarding the exploitation of the Materials or other Materials or any rights pertaining to them. iii) any failure of copyright registration or royalty management by The Licensee. iv) any failure of a third party in the matter of late payment or non-payment of any sums pertaining to this agreement and owed to eMultimedia and/or The Licensee. (b) eMultimedia shall hold blameless, shall indemnify and defend The Licensee against loss, damage, lawsuits or judgments, including legal or accounting fees arising from: i) any adjudicated breach or failure on behalf of eMultimedia of any of the terms of this contract. ii) any failure to supply the services described herein, save in the event of software failure, technical breakdown, or failures caused by the action or inaction of any third party. (c) Both parties shall provide written notice in good time of any actual, threatened or anticipated claim against either party by themselves or a third party and shall provide defense and assistance at their own expense. The party defending the claim shall have control over any and all elements of their defense, including any assistance material or otherwise freely offered by the other party. 7. Relationships This agreement does not constitute or create a joint venture or partnership between The Licensee and eMultimedia except for the extent specifically provided for in this Agreement. 8. Confidentiality and Communication During the term of this contract and for two years after its termination, The Licensee shall keep all information pertaining to payments made, business structures, transactions and communications between parties private and confidential. eMultimedia shall not reveal this information to any entity other than its authorized employees bankers and/or accountants without the written permission of The Licensee. 9. Entire Agreement. This document (including its appendices) constitutes the whole of the agreement between eMultimedia and The Licensee. 10. Notices All notices between parties must be given either by e-mail or registered post to the addresses registered in this agreement. Any change of registered address on the behalf of The Licensee must be acknowledged in writing by eMultimedia to be deemed effective for the purposes of this agreement. Any change of address on behalf of eMultimedia may be acknowledged in writing by The Licensee but shall otherwise be deemed effective for the purposes of this agreement 14 days after appropriate notice is issued by eMultimedia. 11. Transferability This agreement and any benefits and/or responsibilities are not transferable on the part of The Licensee, unless to their willed heir or successor in the circumstance that copyright is still existant in the event of the Licensee's death. 12. Isolation of Unenforceable Clauses If any clause or section of this Agreement is adjudged to be unenforceable for any reason, the validity of the remaining terms shall not be affected and shall remain in full force and effect. Any decision not to take action or to waive the right to prosecute a breach of contract on behalf of either party shall not create any precedent nor affect either party's right to prosecute other breaches. 13. Definitions For the purposes of this Agreement, Agreement means this document and the contract it embodies once signed to by both eMultimedia and The Licensee. Materials means all recordings, the arrangements, composition, lyrics and other physical and intellectual properties submitted to eMultimedia by The Licensee under the terms of this agreement. Gross Revenues: mean funds received by eMultimedia from third parties in consideration of licenses of the Materials described in Schedule A granted them by eMultimedia, after all banking and logistical expenses. Net Revenues: mean funds received by eMultimedia hereunder, being Gross Revenues less any taxes, duties, fees, public charges or withholdings imposed by any agency or authority, less any fee collected by eMultimedia from The Licensee or third parties on behalf of performing rights societies, mechanical rights societies or similar entities representing the copyright owners, artists, or their representatives. Territories: mean all regions in which the Materials may be licensed. eMultimedia means: eMultimedia Group, Inc. or its authorized representatives or agents. Licensee: means the registered provider of the Materials and Ancillary Materials once bound by this agreement. Ancillary Materials: means all photographs, sleeve notes, track descriptions, biographies and other documents submitted to eMultimedia along with the Materials. 14. Governing Law This Agreement shall be solely subject to Canadian Law, and administrated, interpreted and judged by the Canadian courts in the province of Ontario. Appendix A - Deliverables All recordings and sound files must be delivered to eMultimedia by upload to the eMultimedia ADEV Websites or email or CD at 300kbps in either .wav or .mp3 format. Photographs must be delivered to eMultimedia by eMultimedia ADEV Websites or email or CD between 60kbs and 1.4mbs in either .gif or .jpg format. All biographies, track descriptions, notes and other writing must be delivered in a file format compatible with Microsoft Office Word 2003. The Licensee must submit details of a PayPal Account. Such details must be submitted either by submission to the eMultimedia ADEV Websites. eMultimedia takes no responsibility for the security of any such submission by other methods. Schedule A - The Materials A list of all materials is listed when uploading the audio itself. Agreed and Accepted Once the piece of audio has been submitted to eMultimedia all tracks have been completely agreed and accepted by both parties involved.
